Fonterra Aims to Finalize $4.2 Billion Mainland Sale Soon
Dairy cooperative Fonterra is on track to complete the sale of its consumer business, the Mainland Group, in the first quarter of 2024. The sale, valued at $4.2 billion, involves transferring ownership to French dairy giant Lactalis. This acquisition is contingent upon several regulatory approvals, with the most recent endorsement coming from Australia’s Foreign Investment Review Board.
In preparation for this transition, Fonterra will convene a special meeting for shareholders on February 19, 2024. At this meeting, shareholders will vote on a proposed capital return of $2 per share, which would total approximately $3.2 billion once the sale is finalized. This capital return requires support from at least 75 percent of the votes cast at the upcoming meeting.
Farmer shareholders previously expressed strong support for the sale, which includes well-known brands such as Anchor, Mainland, and Kāpiti. The cooperative emphasized that the capital return is expected to be tax-free; however, it advised shareholders to seek independent tax advice tailored to their individual circumstances.
Progress on Brand Separation and Capital Return
Fonterra has reported that the process of separating its consumer brands is progressing smoothly. The cooperative noted, “Holding the shareholder vote on the capital return in February will enable Fonterra to return capital to shareholders and unit holders as soon as possible after the transaction is complete.”
The sale of the Mainland Group marks a significant strategic move for Fonterra as it focuses on its core operations. The cooperative aims to streamline its business while ensuring that it can efficiently return value to its shareholders.
As the closing date approaches, industry observers will be keen to see how the capital return impacts Fonterra’s financial landscape and its long-term strategic direction.
